Update for British Virgin Islands; Registry of Corporate Affairs
The BVI Company Registry, officially known as the Registry of Corporate Affairs under the Financial Services Commission, oversees the incorporation and regulation of all companies registered in the British Virgin Islands. It is the central authority for maintaining the Register of Companies and administering the BVI Business Companies Act.
By virtue of the BVI Business Companies and Limited Partnerships (Beneficial Ownership) Regulations, 2024(the BVIBC and LP (BO) Regulations) and Guidelines, all BVI Business Companies and Limited Partnerships are required to file their beneficial ownership (BO) information with the Registry of Corporate Affairs via the VIRRGIN system with effect from 2 January 2025.
Circular Updates
The regime had an initial deadline of 1st July 2025 for submission of all updates to Business, Companies and Limited Partnerships’ Beneficial Owners.
The FSC has since released two circulars (Circular 22 and Circular 23) to the effect of extending the compliance deadline by 6 months, ending 1st January 2026.
The FSC has also further released updates and guidance for industry practitioners on how to update the registry.
Industry Practitioners are advised to take note of the new deadline and ensure clients are compliant to avoid any penalties.
We urge the company to respond to our various circulars for online submission or via manual forms by no later than 31 October 2025. From 01 November 2025 onwards, we will increase our service fees to USD300.00 per register.

英屬維京群島公司註冊處最新通知
英屬維京群島公司註冊處，全名為英屬維京群島金融服務委員會 轄下「公司事務註冊處」，即為負責管理和監管BVI 境內公司註冊及相關事務之官方機構。該註冊處亦為《英屬維京群島商業公司法》之主管機關，負責維護公司營業登記紀錄及其相關行政事務。
依據《2024年英屬維京群島商業公司及有限合夥組織 (實質受益人)條例 -「實質受益人資訊申報指南 」》，自2025年1月2日起，所有英屬維京群島商業公司與有限合夥組織，皆須透過 VIRRGIN 系統向註冊處提交其實益受益人 (BO) 之資訊。
最新通函規定
所有商業公司及有限合夥組織原訂應於2025年7月1日前完成實質受益人資訊申報，惟註冊處業已發布第22與23號通函，將期限展延六個月至2026年1月1日。針對從業人員應如何進行登錄作業，FSC亦同步公告最新說明與操作指南以供參考。
