We hope this message finds you well. We are writing to inform you of upcoming adjustments to fees, which will take effect in 2025, as detailed below:

A) CAYMAN ISLANDS MONETARY AUTHORITY (CIMA) – LICENCE FEES ADJUSTMENT IN 2025
As previously communicated, the Cayman Islands Monetary Authority (CIMA) has proposed an increase to its 2025 licence fees for Fund related structures. We understand that such increase will issue for application to the 2025 renewal period. We will communicate the details once we receive further communication from CIMA.

B) ANNUAL RENEWAL FEES ARE GENERALLY ADJUSTED IN 2025
In addition, the annual renewal fee for the company will be adjusted effective 1 January 2025.

The adjustment is driven primarily by the increase in the Cayman Registry Companies government Fee of CI$100 (equivalent US$122.00), and a modest adjustment to the registered office fee for operational costs (which may vary).

C) OTHER OPERATIONAL COSTS ADJUSTMENT:
There shall also be adjustments to fees related to the following services:

• Beneficial Ownership Filing Fee (from US$150 to US$250) to be included into the annual renewal invoice. This fee is adjusted to consider the additional information required for Beneficial Ownership Filing.
• Economic Substance Annual Return Fee (if applicable to your company) (from US$350 to US$500) – This adjustment is to adjust for operational costs.

While we understand that any increase may raise concerns, please rest assured that we have made every effort to keep increases at a reasonable level necessary to meet the ongoing economic challenges and ensure long-term service continuity.

Adjustment shall be reflected in you upcoming renewal invoice for 2025.

Portcullis will issue our 2025 renewal invoice by the November 2024. Should the adjustment to the CIMA be unavailable at the time of issues, we shall issue a separate supplementary invoice of the CIMA fees.

謹此通知貴客戶2025年度開曼群島公司相關費用之調整事宜如下：

A) 開曼群島金融管理局（CIMA）– 2025年度執照費用調整
依照保得利先前的通知，開曼群島金融管理局（CIMA）已決議調漲基金相關機構的執照費用，並自2025申報年度起實施。具體調整金額待CIMA公布後會儘速通知，敬請。貴客戶耐心等候。

B) 2025年公司年度續約費用全面調整
自2025年1月1日起，公司年度續約費用將進行全面調漲。本次調整主要係因開曼註冊公司的政府規費調漲KYD 100（約計 USD122），以及其他註冊處費用因受營運成本上漲影響的調整（實際調整金額將視各項目而異）。

C) 其他營運費用調整：
鑑於新制法規的實施以及受上述調整之影響，保得利服務費用亦將予以調整如下：

-實質受益權申報費用：依新制法規要求，須提供申報實質受益權相關的額外資訊，故本服務費用將自US$150調漲至US$250（本費用已納入年度續約費用的發票總額計算）。

– 經濟實質年度申報費用（若貴公司適用）：為因應營運成本之漲幅，故本服務費用將自US$350調漲至US$500。

雖然上述調整係為確保我們持續提供最高品質之服務，保得利仍然不忘以客為尊，盡力將調整幅度控制在最低範圍。此外，本次調整將納入貴公司2025年度續約發票總額之計算。

保得利將於2024年11月初寄送2025年度續約之請款發票。屆時若CIMA實際最終調整金額仍未公布，其差額將以補請款發票之方式，另行寄送。
